Reports of exempt distribution: Looking for a checklist?

In 2016, several regulatory amendments regarding the exempt market came into force. In order to help investment fund managers comply with some of these amendments, the AMF is proposing the following checklist:
- On June 30, 2016, the AMF repealed section 37.2 of the Securities Regulation. The filing of disclosure documents such as offering documents is no longer required in Québec.

- Since May 24, 2016, in all CSA jurisdictions other than British Columbia and Ontario, issuers, except certain foreign issuers, must file the report on exempt distribution (45-106F1) on SEDAR.

- On June 30, 2016, a new Report of Exempt Distribution template (Form 45-106F1) came into force. A transition period is available for investment funds. Templates are posted on the AMF and the CSA websites.

- January 30, 2017 is the filing deadline for all investment funds that file reports of exempt distribution annually. An investment fund’s filing deadline is now based on the calendar year-end, not its financial year-end.
