Capazoo World Corporation - AMF launches penal proceedings against Luc Verville, Paul Delage Roberge and Denis Richard

Montréal – The Autorité des marchés financiers (AMF) has launched penal proceedings against Luc Verville, Paul Delage Roberge and Denis Richard in the Court of Québec (Criminal and Penal Division), district of Montréal, and is seeking fines totalling $132,000.
The AMF has filed 16 counts against Luc Verville and is seeking $120,000 in fines for:
- pursuing activities as a securities dealer without being registered as such with the AMF by acting as an intermediary in respect of a transaction in securities, namely, the distribution of shares in Capazoo World Corporation, thereby violating section 148 of the Securities Act (the "Act") and committing an offence under section 202 (6 counts);
- aiding, by act or omission, Capazoo World Corporation, with the distribution of a form of investment governed by the Act, without preparing a prospectus approved by the AMF, thereby violating sections 11 and 202 of the Act, with reference to sections 204 and 208 (6 counts);
- declaring that the securities of Capazoo World Corporation would be listed, without the authorization of the AMF, in the course of effecting a transaction in its securities, thereby violating section 199 of the Act and committing an offence under section 202 (4 counts).
The AMF is seeking fines against Luc Verville that represent three times the minimum amount set under the Act owing to the subjective seriousness of the offences and for exemplary and deterrence purposes.
As for Paul Delage Roberge and Denis Richard, they face two counts and the AMF is seeking $6,000 in fines against each for:
- pursuing activities as a securities dealer without being registered as such with the AMF by acting as an intermediary in respect of a transaction in securities, namely, the distribution of shares in Capazoo World Corporation, thereby violating section 148 of the Act and committing an offence under section 202 (1 count each);
- aiding, by act or omission, Capazoo World Corporation, with the distribution of a form of investment governed by the Act, without preparing a prospectus approved by the AMF, thereby violating sections 11 and 202 of the Act, with reference to sections 204 and 208 (1 count each).
