Illegal practice and distributions - AMF charges against Bryan Singfield and Avy Cohen

Montréal - The Autorité des marchés financiers ("AMF") has launched a penal proceeding against Bryan Singfield and Avy Cohen in connection with the illegal distribution of shares in Earth Alive Resources inc. (3110001 Canada inc.) to Québec and foreign investors.

Specifically, the AMF has filed eight charges against Bryan Singfield for illegally pursuing activities as a securities dealer, making illegal distributions, stating that securities would be listed on an exchange and making misrepresentations to an investor. Bryan Singfield faces a minimum fine of $25,000.

As for Avy Cohen, he was charged with six similar counts and faces minimum fines totalling $15,000.

The Autorité des marchés financiers ("AMF") is the regulatory and oversight body for Québec's financial sector.
