Late insider disclosure Marie-José Girard found guilty

Montréal – On December 14, 2006, before the Court of Québec (Criminal and Penal Division), district of Montréal, Marie-José Girard pleaded guilty to the 39 counts brought against her by the Autorité des marchés financiers (AMF).

This guilty plea is in response to two prosecutions initiated by the AMF against Marie-José Girard. The first prosecution, for 34 counts, was initiated on September 22, 2004 against Marie-José Girard for having failed to disclose, within a period of 10 days, changes in her control over the securities of two reporting issuers of which she was an insider, i.e. Exploration Dios Inc. and Ressources Sirios Inc., thereby contravening section 97 of Québec’s Securities Act, with reference to section 174 of the Securities Regulations.

The second prosecution, for five counts, was initiated on October 21, 2005 against Marie-José Girard for having failed to disclose, within a period of 10 days, changes in her control over the securities of a reporting issuer of which she was an insider, i.e. Exploration Dios Inc., thereby contravening section 97 of Québec’s Securities Act, with reference to section 174 of the Securities Regulations.

The Honourable Judge Claude Parent of the Court of Québec (Criminal and Penal Division) accepted the guilty pleas of Marie-José Girard and condemned her to pay a total fine of $39,000 plus costs.
